The leader in residence and citizenship planning with more than 30 offices globally, are working with GRS to recruit a Group Corporate Governance Assistant to join their dynamic team in Limassol.  The successful candidate must have at least 5 years’ post-qualification experience within an international law firm or the internal corporate department of an international company as well as proven experience as the Company Secretary.  If you are looking for an opportunity to join the market leader in residence and citizenship planning and to be part of a motivating and energetic team, we are looking forward to receiving your application for this Limassol based Group Corporate Governance Assistant role.
 
 
MAIN DUTIES AND RESPONSIBILITIES
  • Provide statutory information to support third party (e.g., bank, law firm, service provider) due diligence, e.g., in case of bank account opening requests or engagement of third parties
  • Ensure due diligence held on senior management is up-to-date and arrange for renewal, certification/notarization/attestation where necessary
  • Keep an accurate record of due diligence being provided in accordance with GDPR
  • Maintain and manage accurate statutory records, including registers of shareholders, directors and company secretaries as well as authorized signatories
  • Update and create structure charts on Visio
  • Assist the group with filing of contracts, maintaining a record of and monitoring all existing agreements
  • Assist in the preparation and maintaining of templates for board resolutions, minutes, invitations, directors’ consent and resignation letters
  • Assist in circulation and filing of corporate documents and obtaining consent/signatures and, where required, submitting to corporate registers or other third parties
  • Undertake annual data checks of the group for sign off by directors
  • Undertake all other relevant admin support the Corporate Governance Manager and contacts in the group
 
CANDIDATE PROFILE
  • Strong administration skills
  • Excellent interpersonal skills
  • Proven computer skills, including Word and Excel
  • Proficient in database management, Visio and record-keeping
  • Effective written communication skills
  • Excellent accuracy, attention to detail and organizational skills which includes the ability to plan work, prioritize and juggle competing demands, the ability to identify and resolve problems in a timely manner and the ability to gather and analyze information quickly and accurately
  • Experience working for a multi jurisdiction employer would be beneficial
