On behalf of our Client, a very well-established Shipping Group, GRS Recruitment are seeking to recruit a Legal Counsel & Compliance Manager to be based in Limassol. If you have the necessary skills and experience, then GRS are looking forward to receiving your CV for this Legal Counsel & Compliance Manager to be based in Limassol.
MAIN DUTIES AND RESPONSIBILITIES
  • Provide strategic legal advice to the Managing Director on business operations, risk exposure, and regulatory obligations.
  • Develop and implement the group’s legal strategy in alignment with corporate objectives.Draft, review, and negotiate contracts, including:
    • Client agreements
    • Agent agreements
    • Union agreements
    • Insurance agreements
    • Service-level agreements
    • Partnership contracts
    • Leases
    • NDAs
  • Establish and maintain a standardized contract management system across all group entities.
  • Ensure all contracts protect the company’s and group’s commercial and legal interests.
Compliance & Corporate Governance
  • Oversee compliance with corporate, labour, data privacy, occupational health and safety, environmental, and regulatory requirements.
  • Ensure timely statutory filings, licenses, and renewals.
  • Advise the Managing Director on governance best practices.
  • Maintain corporate records (e.g., minutes, resolutions).
  • Implement compliance programs and training sessions for management and staff.
Crew Claims & Medical Cases
  • Guide investigations into employee complaints (harassment, misconduct, retaliation).
  • Evaluate the validity of employee claims and assess potential legal exposure.
  • Represent the employer in mediation or settlement discussions to resolve disputes early.
  • Defend the organization before labour boards and arbitration panels.
  • Ensure proper documentation of employee performance, disciplinary actions, and communications.
  • Assess workers’ compensation and workplace injury claims for legitimacy.
  • Work with insurance providers and medical experts to manage claims efficiently.
  • Ensure adherence to occupational health and safety laws (e.g., OSHA and local equivalents).
  • Advise on handling medical information under applicable laws (e.g., HIPAA, GDPR).
  • Guide when and how medical information may be shared or requested.
  • Review crew complaints to determine nature and severity (harassment, discrimination, retaliation, bullying, policy violations).
  • Advise whether an internal investigation is required.
  • Guide HR/Crewing/Management on conducting fair and unbiased investigations.
  • Ensure compliance with employment laws and prevent retaliation.
  • Advise on confidentiality, data privacy, and record-keeping standards.
  • Recommend appropriate resolutions and preventive measures.
  • Review investigation findings to ensure due process and legal soundness.
  • Recommend disciplinary or corrective actions.
  • Draft settlement agreements or releases where necessary.
  • Advise on communicating outcomes while protecting privacy and minimizing legal risk.
  • Draft official letters, reports, and closure notices.
  • Ensure compliance with regulatory reporting and follow-up obligations.
  • Support HR on employment law matters, disciplinary actions, and employee contracts.
  • Implement data protection procedures and policies.
  • Oversee intellectual property protection (trademarks, copyrights, patents).
  • Manage and coordinate legal disputes, litigation, and arbitration matters.
  • Liaise with and supervise external legal counsel; monitor case progress and evaluate risks.
  • Develop dispute resolution strategies to minimize exposure and costs.
  • Identify legal and regulatory risks and develop mitigation strategies.
  • Review new business initiatives, marketing activities, and investments for compliance and risk exposure.
  • Implement and comply with the Company’s Integrated Management System (IMS).
  • Support IMS certifications (quality, environmental management, occupational health & safety, MLC 2006) and related policies, procedures, and manuals to ensure compliance and reduce liability.
CANDIDATE PROFILE
  • Degree in HR in Law (LLB or JD); master’s in law (LLM) will be considered an advantage.
  • At least 5 years plus of post-qualification legal practicing experience, preferably in a corporate or group of companies setting and preferably in Shipping.
  • Proven experience managing cross-border legal and regulatory matters.
  • Admission to the bar (licensed to practice law in relevant jurisdiction).
  • Strong understanding of corporation/company, labor, and contract law.
  • Excellent Computer Skills (Windows environment, Microsoft Word, Excel, Internet)
  • Excellent command of the English language (both written and oral)
  • Any additional language is an advantage i.e., German, French
  • Holder of European Driving License
  • Ability and willingness to travel abroad.
  • Willing to work overtime, and on weekends with short notice.
  •  Strong market awareness and sound understanding of how a business operates.
