GRS Recruitment is delighted to announce a fantastic opportunity for a Senior Compliance & Legal Officer to join our client, a prominent Forex Trading company based in Limassol. Our client is a dynamic organization with a workforce dedicated to maintaining compliance and fostering a robust legal framework within the fast-paced financial trading sector. The successful candidate will be a skilled and experienced Legal Officer to focus on corporate legal matters, ensuring that all agreements, third-party relationships, and corporate records are managed with precision and diligence. The Senior Compliance & Legal Officer is responsible for overseeing corporate legal matters, company secretarial duties, contract management, and regulatory affairs across the regulated and unregulated entities serviced by the company. This role ensures that all corporate legal obligations, governance requirements, and compliance frameworks are adhered to, while also supporting the broader compliance and regulatory functions. Additionally, the Senior Compliance & Legal Officer will supervise junior team members and ensure that all internal legal and compliance policies are effectively implemented.
 
DUTIES AND RESPONSIBILITIES

Legal & Corporate Affairs (Primary Responsibilities)

  • Draft, review, and negotiate contracts, agreements, and legal documents related to corporate operations and business activities.
  • Provide legal advice on corporate governance, company law, and regulatory obligations affecting serviced entities.
  • Act as the Company Secretary, ensuring compliance with corporate governance requirements, maintaining statutory registers, and filing necessary documentation with relevant authorities.
  • Assist in the structuring, incorporation, and maintenance of legal entities, including reviewing constitutional documents and advising on corporate structures.
  • Ensure compliance with shareholder agreements, board resolutions, and other corporate governance obligations.
  • Conduct legal due diligence and support transactional matters, mergers, acquisitions, and corporate restructurings.
  • Liaise with external legal advisors, regulators, and other stakeholders on legal and governance-related matters.
  • Monitor legislative and regulatory developments and assess their impact on serviced entities, advising management accordingly.

Compliance & Regulatory Affairs (Secondary Responsibilities)

  • Monitor and ensure adherence to compliance requirements, industry standards, and contractual obligations across all serviced entities.
  • Develop, implement, and maintain internal compliance and AML policies, procedures, and controls.
  • Conduct compliance risk assessments, internal reviews, and audits to identify and mitigate potential risks.
  • Ensure adherence to AML, KYC, CDD, and EDD requirements, assisting in financial crime prevention efforts where applicable.
  • Act as a point of contact for compliance-related inquiries from clients, auditors, and legal advisors.
  • Provide compliance-related training, support, and guidance to internal teams.
  • Investigate and escalate any identified risks, breaches, or compliance concerns in line with internal protocols.
  • Supervise and coordinate the work of junior compliance officers, ensuring alignment with internal policies and service quality standards.
  • Coordinate workflow within the compliance team to ensure operational efficiency and adherence to best practices.
  • Follow all instructions issued by the Regulatory Affairs Manager, ensuring compliance with any guidelines, practices, and directives established by the department.

General Duties

  • Perform any other tasks, duties, or responsibilities that are related, incidental, or ancillary to the execution of the above responsibilities, as may be reasonably required by the Employer from time to time.
  • Ensure compliance with all company policies, applicable laws, and industry best practices.
CANDIDATE PROFILE
  • Experience: Minimum of 3-5 years of experience in corporate law.
  • Education: A degree in Law (LLB or equivalent); admission to the Bar in Cyprus is an advantage.
  • Skills:
    • Strong knowledge of corporate governance, regulatory compliance, and legal documentation.
    • Exceptional organizational skills and attention to detail.
    • Ability to work independently and prioritize tasks effectively.
    • Proficiency in managing corporate and legal documentation systems.
    • Excellent verbal and written communication skills in English; knowledge of Greek is an advantage.
