The leader in residence and citizenship planning with more than 30 offices globally, are working with GRS to recruit a Senior Corporate Governance Manager to join their dynamic team in Limassol.  The successful candidate must have at least 5 years’ post-qualification experience within an international law firm or the internal corporate department of an international company as well as proven experience as the Company Secretary.  If you are looking for an opportunity to join the market leader in residence and citizenship planning and to be part of a motivating and energetic team, we are looking forward to receiving your application for this Limassol based Senior Corporate Governance Manager role.
 
 
MAIN DUTIES AND RESPONSIBILITIES
  • Taking the lead where necessary and otherwise assist with incorporation, liquidation, merger, share transfer, etc.
  • Be responsible where necessary and otherwise assist with alterations to Memorandum and Articles of Association, including change of name, alteration of capital, etc.
  • Preparation, provision and update of corporate documentation in required form
  • Board/committee meetings of the company: assist with the preparation of annual meeting plan, ensure meetings are prepared and conducted in accordance with Articles of Association and where applicable economic substance requirements, collation and preparation of agenda items and board packs, preparation of minutes and ensuring relevant action points are followed up
  • Manage and provide statutory information to support third party due diligence/KYC requests
  • Oversee annual data checks on all the companies of the group, record keeping requirements, renewal of regulatory registrations
  • Draft and amend policies and procedures as required
  • Providing training to senior management with regards to directors and executive management duties and obligations
  • Functioning as the Company Secretary of all the companies in the group that are based in Cyprus and assist company secretaries of other companies in the group overseas.
 
CANDIDATE PROFILE
  • University Degree in law, finance, business management or a related field
  • 5+ years of post-qualification experience gained from either international law firm or a corporate/commercial department of an international organization
  • Proven experience as Company Secretary of other corporate governance activity in a group of companies and managing a company secretarial/corporate governance team
  • Good understanding of corporate legislation
  • Outstanding English written & verbal communication skills
  • Proficient in Word, Excel and Outlook
