Our client, a comprehensive management services provider covering areas such as company formation, corporate secretarial, accounting, tax, trustee, marine, and aviation services, is currently seeking a Senior Legal Associate to join their dynamic team in Malta. The selected candidate will primarily be responsible for advising the Company and clients on the execution of legal / commercial transactions and for reviewing, vetting and drafting legal documentation in relation to the said commercial transactions. MAIN DUTIES AND RESPONSIBILITIES
 
  • Assisting with legal assessment of commercial transactions, including the drafting and vetting
  • of commercial agreements and ancillary documentation
  • Preparing summaries of key terms, tracking the status of transactions as well as the performance of contractual terms
  • Advising and supporting the Company alike in their dealings with clients and third parties
  • Being the main point of contact for all purchase and sale transactions and liaising with all  stakeholders involved on the transaction including lawyers, financiers, advisors, family offices, shareholders and clients
  • Drafting and reviewing corporate governance documents, including minutes and written
  • resolutions, memorandum & articles, proxies and similar documents
  • Formation and dissolution of legal entities in Malta and possibly in other jurisdictions
  • Assisting with corporate matters related to the management and administration of client Entities
  • Liaising with authorities in multiple jurisdictions as well as other professional services firms to
  • support clients in all their requirements
  • Managing an electronic and hardcopy filing system
  • Conducting legal research on various topics as may be required by the Company
  • Undertaking other duties from time-to-time as the Company may reasonably require
  • Keeping abreast of developments in local and international legislation and regulations vis-à vis the maritime and aviation sectors and other relevant laws
  • Upholding company’s values by promoting a culture of professionalism, teamwork and equality
 
CANDIDATE PROFILE
 
  • Qualified lawyer with a warrant to practice law in Malta
  • A minimum of three years’ relevant experience working in yachting and maritime law and in corporate environment
  • Strong team-player with experience of working in a dynamic organisation and able to build
  • bridges between the different stakeholders within the organisation
  • Hands-on and with attention to detail. Also a positive attitude towards solving problems
  • High level of professionalism, integrity and confidentiality
  • Strong communication, negotiation and persuasive skills
  • Ability to think outside the box, to challenge the status quo, but to do so diplomatically and
  • in a collaborative manner
  • Culturally sensitive and experienced in dealing with multiple nationalities and business
  • cultures
  • Ability to deal with change and to take initiatives
  • Proven track record of exceeding targets and in developing and maintaining a professional
