GRS Recruitment is working on behalf of a growing real estate development firm in Limassol that forms part of an established global group and are seeking an In-House Legal Counsel. Our client manages multiple active off-plan developments alongside a dynamic rental portfolio and continues to expand its presence in the Cyprus market. This is an opportunity to join a fast-paced, commercially driven environment where you will work closely with company principals and play a central role in high-value real estate transactions and strategic projects. You will act as the main legal point of coordination between buyer lawyers, brokers, external counsel, and internal stakeholders, ensuring transactions move efficiently while protecting the company’s commercial interests. The position combines transactional real estate work, corporate legal matters, and operational legal support across a portfolio of companies and development projects. MAIN DUTIES AND RESPONSIBILITIES
  • Real Estate Transactions & SPA Negotiations
    • Lead negotiations on Sales Purchase Agreements (SPAs) and reservation agreements for off-plan developments
    • Manage multi-round revisions with buyer-side lawyers using tracked changes and structured review processes
    • Apply and strengthen developer-protection provisions across transactions
    • Drive transactions efficiently from negotiation through execution
  • Land Acquisitions & Development Structuring
    • Review and negotiate land purchase agreements, escrow arrangements, and shareholder agreements for project SPVs
    • Coordinate with external counsel on:
    • Title searches
    • Planning and building permits
    • Demolition permits
    • Regulatory compliance matters
  • Corporate & Legal Operations
    • Manage corporate housekeeping across multiple entities, including:
    • Annual returns
    • Board resolutions
    • Authorized signatory appointments
    • Employment agreements and terminations
    • Registry compliance
  • Litigation & External Counsel Coordination
    • Liaise with external legal counsel on:
    • Tenant disputes
    • Eviction proceedings
    • Enforcement and execution matters
  • Legal Documentation & Process Improvement
    • Maintain and improve:
    • SPA templates
    • reservation agreements
    • NDAs
    • legal review checklists
    • Support the development of scalable legal processes as the company expands
  • Cross-Border Coordination
    • Work primarily in English across international counterparties and investors
    • Support Cyprus legal documentation and filings where Greek language knowledge is beneficial
CANDIDATE PROFILE
  • Cyprus-qualified lawyer admitted to the Cyprus Bar and in good standing
  • Solid post-qualification experience with a strong focus on real estate development
  • Proven experience drafting and negotiating off-plan SPAs and reservation agreements from the developer side
  • Strong understanding of:
    • Cyprus Land Registry procedures
    • Planning and building permit processes
    • The Sale of Immovable Property (Specific Performance) Law
    • Property development regulatory frameworks
  • Working knowledge of Cyprus employment law
  • Native or near-native English fluency
  • Comfortable working with tracked changes, threaded comments, and digital legal workflows
  • Experience dealing with international buyer-side lawyers across Israel, the UK, EU jurisdictions, CIS countries, and the Middle East
  • Familiarity with Cyprus short-term rental regulations and apartment management committee matters
  • Exposure to:
  • Joint venture structures
  • Shareholder agreements
  • Partnership arrangements
  • SPV restructuring
