We are seeking an experienced Legal Counsel with a strong background in Capital Markets and Financial Services law, ideally combined with exposure to real estate investment structures in Larnaca. The successful candidate will support the Group’s investment, fundraising, and structuring activities across Cyprus and international markets, ensuring regulatory compliance and legal risk mitigation.
MAIN DUTIES AND RESPONSIBILITIES
  • Advise on capital markets transactions, including debt and equity offerings, bond issuances, private placements, structured finance instruments
  • Support the establishment and ongoing operation of investment vehicles, including AIFs / RAIFs / UCITS, SPVs and holding structures
  • Ensure compliance with CySEC, EU regulatory frameworks (MiFID II, AIFMD, Prospectus Regulation, MAR).
  • Liaise with regulators, external counsel, trustees, custodians, and listing authorities.
  • Provide legal support for real estate acquisitions, disposals, and development projects.
  • Draft, review, and negotiate: Shareholders’ agreements, Subscription agreements, Loan and security documentation, Joint venture agreements.
  • Advise on cross-border investment structuring and tax-efficient legal frameworks (in coordination with tax advisors).
  • Support group corporate governance matters across multiple jurisdictions.
  • Draft and review commercial contracts, NDAs, service agreements, and investment documentation.
  • Assist in due diligence processes for acquisitions and fundraising rounds.
  • Monitor legal and regulatory developments affecting capital markets and real estate investments.
  • Identify legal risks and propose practical, business-oriented solutions.
  • Contribute to internal policies, procedures, and compliance frameworks.
CANDIDATE PROFILE
  • Law degree from a recognized university.
  • Qualified lawyer in Cyprus (Member at the Cyprus Bar Association)
  • 5+ years of post-qualification experience, preferably in Capital Markets, Financial Services, and/or Investment funds, within a law firm, investment firm, fund manager, or financial institution.
  • Strong knowledge of EU capital markets regulation, Investment funds and structured finance and Cross-border transactions
  • Experience with real estate-backed investment structures is highly desirable.
  • Familiarity with CySEC-regulated entities is an advantage.
  • Excellent drafting and negotiation skills in English (Greek is a strong advantage).
  • Commercial mindset with the ability to balance legal risk and business objectives.
  • Strong organizational and stakeholder management skills.
  • Ability to work independently in a fast-paced, international environment.
