Our esteemed client, a leading organisation within the corporate services, is seeking a Company Secretarial Manager to join their team in Malta. We are looking for a detail-driven professional to support the corporate governance and compliance efforts as a regulated credit institution. MAIN DUTIES AND RESPONSIBILITIES
- Address corporate governance matters and the compliance obligations of the Company as a regulated credit institution and act as point of contact for the business in respect of company secretary queries
- Provide company secretarial support to the Head of Legal and Company Secretary, as well as the Board and Advisory Board Committees including but not limited to organizing the agenda, the collection, and distribution of supporting documents (electronically and via Diligent Board) and minuting such meetings , acting as deputy for the Company Secretary
- Review and draft necessary minutes, resolutions, agreements and powers of attorney for company secretarial matters
- Assist in establishing and maintaining company secretarial registers such as eCorporate, IMAS or eManex
- Administrative support of the legal team
- Coordinate with the Group corporate governance team for corporate or regulatory matters
- Any other tasks as may be defined by the Head of Legal
CANDIDATE PROFILE
- Holder of a bachelor’s Degree in Law, Languages, or equivalent through experience
- At least 2-5 years of experience in a Company secretarial role or relevant experience
- Excellent knowledge of English (spoken and written) and Dutch or French. All three are a plus
- Knowledge of the financial services industry is considered a strong asset
- Basic IT skills for maintaining the company secretary registers (Diligent Board, DocuSign, Excel and PPT)
- Strong written and oral communication skills
- Logical thinker, punctual and able to set priorities
- Organisational talent and an eye for detail
- Problem-solver, decisive and able to work under pressure of deadlines
