Our client is a Global Trust & Fiduciary services company with offices in 26 countries and over 900 employees globally now have an opportunity for a Company Secretary & Corporate Fund Executive to join their vibrant team in Malta. To be successful in this role you will need to have exceptional interpersonal skills and at least 3 years of experience in a similar role. If you also have trust or pension experience this would be seen as an advantage. MAIN DUTIES AND RESPONSIBILITIES
  • Working with regulated licensed entities and will be responsible for the day-to-day management of a portfolio of collective investment schemes
  • Maintaining high-level relationships with key clients and assisting them with corporate governance as required by their business, under the oversight of the corporate services director.
  • Being clients’ main contact for matters arising on a day-to-day basis
  • Preparing for and attending quarterly board meetings, annual general meetings, and extraordinary general meetings
  • Handling statutory filings of our client base, including liaising with officials from the MFSA, MBR and other government departments as necessary
  • Performing all aspects of company administration
  • Preparing documents in relation to transactions, including minutes and resolutions
  • Maintaining company records, including due diligence, whilst ensuring physical files and database master files are maintained in a correct manner.
CANDIDATE PROFILE  
  • A thorough understanding of the company secretary role, including statutory record keeping and the compliance obligations impacting upon the administration area
  • Experience working with collective investment schemes.
  • Familiarity with the MFSA Corporate Governance Manual
  • Knowledge of the different types of local fund structures will be considered an asset.
  • Organisational and project management skills, and the ability to meet deadlines
  • Excellent verbal and written communication skills, including experience with minute-taking
