GRS Recruitment is working on behalf of a rapidly growing international FinTech company to recruit a Senior Legal Counsel for their Cyprus office. As Senior Legal Counsel, you will act as a trusted advisor to senior stakeholders, ensuring robust corporate governance, effective legal risk management, and compliance across more than 15 international jurisdictions. You will work closely with business leaders, external legal partners, and operational teams to standardise legal processes, strengthen contractual frameworks, and support strategic expansion initiatives.
DUTIES AND RESPONSIBILTIES
 
Corporate Governance & Legal Compliance
  • Lead and support corporate governance matters across holding and operational entities.
  • Manage corporate restructurings, board and shareholder resolutions, company secretarial matters, and ongoing compliance obligations.
  • Support tax-related corporate legal matters and ensure adherence to local regulatory requirements across multiple jurisdictions.
  • Develop and maintain comprehensive registers of corporate documentation and governance records.
International Legal Management
  • Coordinate and manage relationships with external legal counsel across multiple jurisdictions.
  • Oversee legal projects and ensure timely, commercially focused legal support is delivered to the business.
  • Provide practical legal guidance to stakeholders on international corporate and commercial matters.
Commercial Contracts & Legal Frameworks
  • Review, draft, negotiate, and manage a broad range of commercial agreements.
  • Assess third-party service agreements to ensure compliance with regulatory, operational, and business requirements.
  • Establish and implement global contract standards across headquarters and local entities.
  • Create and maintain a centralised contract management framework and legal document repository.
  • Lead contract validation and remediation projects to ensure consistency and compliance across all jurisdictions.
Process Improvement & Legal Transformation
  • Introduce best-practice standards for corporate documentation and commercial agreements.
  • Develop scalable legal processes that support the organisation's continued international expansion.
  • Drive legal governance initiatives and enhance legal operational efficiency across the group.
CANDIDATE PROFILE
  • Minimum 7 years of post-qualification legal experience.
  • At least 2 years of recent experience as an In-House Senior Lawyer or Legal Counsel within an international organisation.
  • Proven experience managing corporate legal matters across Cyprus, the EU, and international jurisdictions.
  • Strong background in corporate governance, commercial contracts, and regulatory compliance.
  • Experience selecting, managing, and coordinating external counsel across multiple countries.
  • Fluent in Ukrainian and English, with excellent written and verbal communication skills.
  • Based in Cyprus or eligible to work in Cyprus.
  • Experience working across multiple jurisdictions
  • Previous exposure to FinTech, Financial Services, Payments, Technology, or other highly regulated industries.
  • Strong project management skills with the ability to build legal frameworks and processes in a fast-growing environment.
